1. Agreement
These Terms of Service ("Terms") govern the provision of software development and consulting services by Konstantin Stukov ("I", "me", "my"), a Sole Professional registered in Dubai, United Arab Emirates. By engaging my services, you ("Client", "you") agree to be bound by these Terms.
2. Services Overview
I provide freelance software development services including, but not limited to: custom software development, web and mobile application development, backend and API development, and software architecture consulting.
3. Proposals, Invoices & Payment
Projects are billed hourly or at a fixed price, as agreed per engagement. Specific deliverables, timelines, and pricing will be outlined in a written proposal or statement of work before any engagement begins. Invoices are due within 14 days of issue unless otherwise agreed. Late payments may incur reasonable administrative fees.
4. Project Scope & Changes
The scope of each project is defined in the corresponding proposal or statement of work. Any changes to the agreed scope may result in adjustments to the timeline and cost, which will be communicated and agreed upon in writing before work proceeds.
5. Intellectual Property
Upon full payment for the delivered work, all intellectual property rights in the custom-developed deliverables are transferred to you. Pre-existing tools, libraries, or frameworks I use remain the property of their respective owners and are licensed, not sold.
6. Limitation of Liability
To the maximum extent permitted by law, my total liability for any claim arising from the services shall not exceed the total fees paid by you for the specific engagement giving rise to the claim. I am not liable for indirect, incidental, consequential, or punitive damages.
7. Confidentiality
I treat all client information as confidential and will not disclose it to third parties without your consent, except as required by law.
8. No Unlawful Use
You agree not to use the delivered software or services for any purpose that is unlawful, harmful, or prohibited by applicable law.
9. Governing Law
These Terms are governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes shall be resolved through good-faith negotiation, and if necessary, through the courts of Dubai, United Arab Emirates.
10. Changes to These Terms
I may update these Terms from time to time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of my services after changes constitutes acceptance of the revised Terms.
